These Terms of Service ("Terms") govern your access to and use of rhope (the "Service"), operated by [Company Legal Name] SRL. By creating an account or using the Service, you agree to these Terms. If you purchase a subscription, your order is also governed by Paddle's Buyer Terms and Refund Policy. If you do not agree, do not use the Service.
1. Introduction & Acceptance
rhope is operated by [Company Legal Name] SRL, a company incorporated in Romania (CUI [CUI], [ONRC J00/0000/0000]), registered seat [Registered seat, Romania]. These Terms form a binding agreement between you and us. By accessing or using the Service you confirm that you have read, understood, and accept them.
2. Definitions
- "Service" — the rhope website, applications, data, and tools.
- "Paddle" — Paddle.com Market Ltd, our authorised reseller and Merchant of Record.
- "Market Data" — prices, fundamentals, news, ratings, and other financial information made available through the Service, sourced from third-party providers.
- "Subscription" — a paid plan (e.g. Pro) giving access to additional features.
- "you" — the individual using the Service.
3. Eligibility & Accounts
You must be at least 16 years old to use the Service (⚖️ to confirm 16 vs 18 with counsel given the financial-data context). You agree to provide accurate information, to keep your credentials secure, and to be responsible for activity under your account. The Service is offered to consumers (B2C).
4. Licence to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for the duration of your subscription or free access, for your own personal, non-commercial research. No software is sold to you; we grant access, not ownership.
5. Subscriptions, Billing & Paddle (Merchant of Record)
Paid plans are billed on a recurring basis (monthly or annually) at the price and currency shown at checkout. Paddle is our authorised reseller and the Merchant of Record and is the seller of record for all orders: Paddle processes payment, issues the invoice/receipt, calculates and remits applicable VAT/taxes, and handles refunds. Our order process is conducted by our online reseller Paddle.com Market Ltd. Paddle is the Merchant of Record for all our orders and provides all customer-service inquiries and handles returns.
Subscriptions auto-renew at the stated interval and price until cancelled. We will give you advance notice of any price change, and you may cancel before it takes effect.
6. Cancellation, Refunds & Withdrawal
You may cancel a subscription at any time; access continues until the end of the paid period and no further charges are made. Refunds and the EU/EEA/UK 14-day right of withdrawal (and its digital-content exception) are described in our Refund & Cancellation Policy. Refunds are processed by Paddle.
7. Acceptable Use
You agree not to:
- scrape, redistribute, resell, or sublicense Market Data or other content, except as expressly permitted;
- reverse engineer, decompile, or attempt to extract source code;
- share, transfer, or resell your account or access;
- use automated means to abuse, overload, or disrupt the Service;
- use the Service for any unlawful purpose.
Market Data is licensed from third-party providers and is subject to their redistribution restrictions.
8. Intellectual Property
We own the rhope platform, interface, and compiled analytics. Market Data is licensed from third-party providers and remains their property. You retain ownership of the inputs you create (such as watchlists and portfolio entries).
9. No Financial Advice / Informational Use Only
rhope provides data and tools, not advice. Nothing on rhope is investment, financial, legal, or tax advice, a recommendation, a solicitation, or a trading signal or strategy. We are not a registered investment adviser, broker, or dealer, and no fiduciary relationship is created. The Service is for informational and educational purposes only. Past performance is not indicative of future results. You are solely responsible for your own decisions; consult a licensed professional before making investment decisions.
10. Market-Data Accuracy Disclaimer
Market Data is obtained from third-party providers and may be delayed, incomplete, or inaccurate. Some data may not be real-time. It is provided "AS IS" and "AS AVAILABLE", without any warranty of accuracy, completeness, timeliness, or uninterrupted availability.
11. Warranties Disclaimer
To the fullest extent permitted by law, the Service is provided "AS IS" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This does not affect your mandatory statutory rights (see Section 12).
12. Statutory Consumer Guarantee / Conformity
As a consumer you have non-excludable rights regarding the conformity of paid digital services under the EU Digital Content Directive (Directive (EU) 2019/770), transposed in Romania by OUG 141/2021 — including the right to have a non-conforming paid service brought into conformity, a proportionate price reduction, or termination. The "AS IS" disclaimers above apply to third-party Market Data; they do not limit the statutory conformity of the paid Service itself.

13. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid in the 12 months preceding the claim. We exclude liability for indirect, incidental, or consequential damages, and for trading or investment losses. Nothing in these Terms limits liability that cannot be excluded by law — including for fraud, gross negligence, death or personal injury, or your mandatory consumer rights (Section 12).
14. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service or Market Data, your breach of these Terms, or your unlawful use of the Service, to the extent permitted by law.
15. Third-Party Services & Links
The Service relies on third-party providers (data providers, authentication providers, and Paddle). Your use of those services may be governed by their own terms. We are not responsible for third-party content or services.
16. Suspension & Termination
We may suspend or terminate access for breach of these Terms, non-payment, or misuse. You may stop using the Service and cancel your subscription at any time. On termination, your right to access the Service ends; certain provisions (e.g. IP, disclaimers, liability) survive.
17. Changes to the Service & these Terms
We may modify the Service or these Terms. We will give advance notice of material changes. Your continued use after changes take effect constitutes acceptance; if you do not accept, you may stop using the Service and cancel.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of Romania. As an EU consumer you retain the mandatory protections of your country of residence. You may contact the Romanian National Authority for Consumer Protection (ANPC), and you may use the EU Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.
